Frequently Asked Questions — Statutory Lien Waivers & Good-Better-Best Bidding
Which 12 US states mandate statutory construction lien waiver forms?
Twelve (12) US states mandate statutory mechanic's lien waiver forms by law: Arizona (A.R.S. § 33-1008), California (Civ. Code §§ 8132, 8134, 8136, 8138), Florida (Fla. Stat. § 713.20), Georgia (O.C.G.A. § 44-14-366), Massachusetts (M.G.L. c. 254 § 32), Michigan (MCL § 570.1115), Mississippi (Miss. Code § 85-7-419), Missouri (RSMo § 429.005), Nevada (NRS 108.2457), Texas (Tex. Prop. Code § 53.284), Utah (Utah Code § 38-1a-802), and Wyoming (Wyo. Stat. § 29-10-101).
Does a Texas or California construction lien waiver need to be notarized in 2026?
No. California Civil Code §§ 8132–8138 does not require notarization. In Texas, HB 2237 amended Tex. Prop. Code § 53.284 to eliminate the notarization requirement for statutory lien waivers signed on or after January 1, 2022. Among the 12 statutory states, only Wyoming (Wyo. Stat. § 29-10-101) and residential final waivers in Missouri routinely require notarization.
What is the difference between a Conditional and Unconditional Lien Waiver?
A Conditional Waiver and Release only becomes legally effective once the check or ACH payment has actually cleared the bank. An Unconditional Waiver immediately extinguishes your mechanic's lien and payment bond rights upon signing—even if the check later bounces or the wire is never sent.
What is the difference between Contractor Markup and Gross Profit Margin?
Markup is the percentage added on top of direct job cost, whereas Gross Margin is the percentage of the final selling price that is gross profit. A 50% markup on a $1,000 job yields a $1,500 price ($500 profit = only 33.3% gross margin). To achieve a true 50% gross margin on a $1,000 job, you must divide $1,000 by (1 - 0.50) = $2,000 (a 100% markup).
